The following terms and conditions (collectively, these \"Terms of Service\") apply to your use of pointent.com, netxed.com or mystaffpro.com, including any content, functionality and services offered (referred to as the \"Websites\"). \r\n\r\n\r\n PEI is working hard to maintain and improve the Websites, but does not guarantee that the Websites will be up and running 24/7. We also reserve the right to suspend or restrict access to some features to users. In the unlikely event we receive a disclosure request from an authorized party, we reserve the right to disclose user identities when required to do so by the law, including in response to a law enforcement request supported by a valid court order. You waive and hold harmless PEI from any claims resulting from any action taken by PEI during or as a result of its investigations and from any actions taken as a consequence of investigations by either PEI or law enforcement authorities.\r\n

\r\n\r\n Any legal suit, action or proceeding arising out of, or related to, these Terms of Service or the Websites shall be instituted exclusively in the federal courts of the United States or the courts of the State of South Carolina.\r\n
\r\n\r\n\r\n Our failure to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and PEI and governs your use of the Websites, superseding any prior versions of the Terms of Service. If any provision of these Terms of Service is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.\r\n
\r\n\r\n The Terms of Service are in addition to, not superseding, specific software licenses or agreements that may exist to cover software being provided through the Websites.\r\n

\r\n\r\n\r\n These Terms of Service for TPM are an extension of Point Enterprises, Inc (PEI)
\r\n TPM is an online subscription service. The subscription cost is based on PEI’s then current monthly cost per scored employee, billed annually. The number of scored employees is normally adjusted once a year on the anniversary of the subscription, so organic growth is not charged. PEI reserves the right to adjust the subscription cost if the number of scored employees increases by more than 100% over the current number subscribed.\r\n
\r\n\r\n Initial Period. Each new organization receives a free initial scorecard month to evaluate TPM. The organization can set up TPM, upload employees and other organizational information, define as many scorecards as desired, upload data and fully utilize all features of TPM. There is no time limit on how long an organization spends setting up, working with or utilizing the initial TPM period. A subscription must be active to upload data for any additional periods.\r\n
\r\n\r\n Subscription Period. During an active subscription period any number of users may access TPM. Each user must sign up and create an individual profile and be approved by an organization administrator. There is no limit to the number of scorecards or individual criteria defined for each organization. The subscription will renew automatically unless terminated in writing prior to the end of the current subscription.\r\n
\r\n\r\n\r\n There are two kinds of support: Standard and Custom.\r\n
\r\n\r\n Standard Support. PEI will provide email and telephone support from 9AM to 5PM, Monday through Friday excluding holidays. Support includes how to use the website, perform administrative functions, upload data, access TPM features, troubleshoot configuration or data issues, and similar activity. Standard Support does not include consultative services to design scorecards or utilize TPM for specific business purposes. There is no additional cost for Standard Support.\r\n
\r\n\r\n Custom Support. Upon request PEI will provide custom support services at its then current hourly billable rate. All billable services must be authorized in writing before commencement of services. An organization may request an estimate of service cost ahead of time, but ultimately is responsible for the effort expended. Custom support services are invoiced monthly following the month when the service is provided. Custom services may include any of the following.\r\n
\r\n\r\n Copyright. PEI alone owns copyright, title and interest in the software and technology that comprises TPM, including any suggestions, requests, enhancements, custom development or feedback provided by any User. No User acquires ownership rights to any content, document or other materials viewed or accessed through any PEI Website.\r\n
\r\n\r\n Proprietary Information. Each party, PEI and User, retains rights to its proprietary information which may include: organizational structure, employees, data, correspondence or documents.\r\n
\r\n\r\n Confidentiality. Both PEI and User shall use its best efforts to protect and treat the other party’s information. PEI prohibits, and shall not knowingly accept, any NPPI (Non-Public Private Information) from User concerning its customers or employees. Specifically, no tax identification (SSN) or account numbers of customers or employees should be uploaded to PEI.\r\n
\r\n
